ECSM Terminology


Accredited
Where a broker dealer, limited service broker or investment adviser firm designates an individual as being authorized to conduct securities business on its behalf
Broker Dealer
Market participant who provides full broker dealer services including investment banking, buying and selling of securities, underwriting, holding discretionary and non discretionary accounts and providing investment advise.
Collective Investment
Any arrangement whereby a group of persons pool their resources the purposes or effect of which is to enable the participant to participate in or receive profits or income from the investment of those resources - e.g. a unit trust, investment company or mutual fund and investment contracts.
Company
Company incorporated or registered under the Companies Act of a member territory of the ECCU (Anguilla, Antigua, Commonwealth of Dominica, Grenada, Montserrat, St Kitts-Nevis, St Lucia, St Vincent and The Grenadines).
Dealing in Securities
a business activity that involves:

1. making or offering to make an agreement
    (a) to enter into an agreement
    (b) to make an offer
in connection with acquiring, disposing of subscribing for or underwriting securities;

2. making or offering to make an agreement that effects or causes another to effect a securities transaction;

3. managing a portfolio of securities for another person where the portfolio manager may hold property of the other person.
ECCSD
Eastern Caribbean Central Securities Depository. The ECCSD is a wholly owned subsidiary of the ECSE which provides clearance and settlement of trades effected on the ECCSE.
ECCSR
Eastern Caribbean Central Securities Registry. The ECCSR is a wholly owned subsidiary of the Eastern Caribbean Securities Exchange. The main function of the ECCSR is to maintain records of securities on behalf of issuers.
ECSE
The Eastern Caribbean Securities Exchange. An automated quote driven call auction market wherein individuals/institutions issue, buy and sell securities.
ECSM
The Eastern Caribbean Securities Market. The securities market which encompasses the eight territories of the Eastern Caribbean Currency Union (Anguilla, Antigua, Commonwealth of Dominica, Grenada, Montserrat, St Kitts-Nevis, St Luicia, and St Vincent and The Grenadines).
ECSRC
The Eastern Caribbean Securities Regulatory Commission (ECSRC), which was established by the Agreement Establishing the Eastern Caribbean Securities Regulatory Commission") is charged with regulatory oversight over securities operations in the ECSM.
Formation Document
The legal document that establishes an entity e.g. memorandum and articles of association or by laws of a company, the trust deed of a unit trust.
Limited Service Broker
Market participant who provides all services except investment advice, investment banking, underwriting or holding discretionary accounts for customers.
Prescribed
Prescribed by regulations made by the Minister of Finance on the recommendation of the Commission.
Reporting Issuer
A company which issues or has issued securities to the public
SRO
Self Regulatory Organizations. These organisations establish rules for the regulation of their members which are separate from those of the ECSRC - e.g. the ECSE. These rules are subject to regulatory approval by the ECSRC. SROs are required to be licensed under the Securities Act 2001.
Substantial Shareholder
A person who has an interest in shares in a company, the stated value of which is equal to or more than 5% of the issued share capital of the company or which entitles the person to exercise or control the exercise of 5% or more of the voting power at a general meeting of the company.
The Act
The Securities Act 2001.
Uncertificated Securities

Securities held in electronic form; no physical certificate is issued. Also known as dematerialized securities.
