MARKET NOTICE - Citizenship by Investment and Securities Legislation: Unauthorised Offer of Securities | Date: 2023-02-14

The Eastern Caribbean Securities Regulatory Commission (ECSRC) (“the Commission”) advises the public in the Eastern Caribbean Securities Market (ECSM) that any person or company wishing to engage in the issue or offer of shares/securities, whether via a public or private issue or offer, must first seek the authorisation of the Commission as per the rules and regulations detailed under the Securities Act[1].

Section 92 (3) of the Act governs the public offer of shares and provides that “no person shall make a public offer of securities unless the issuer or offeror of the securities has submitted for approval to the Commission a prospectus which complies with this Act, and the Commission has approved the prospectus” more

MARKET NOTICE: Continuing Disclosure Obligations of Reporting Issuers: Financial Reporting And Disclosure | Date: 2022-11-29

The International Organisation of Securities Commissions (IOSCO) Principles of Securities Regulation for Issuers (Principle 16) of securities states that “there should be full, accurate and timely disclosure of financial results, risk and other information which is material to investors’ decisions.” In a Public Statement issued on 14 November 2022, IOSCO encourages issuers, external auditors, as well as audit committees ‘to be particularly vigilant in times of economic uncertainty in their consideration of how risks and uncertainties that could affect or have affected an issuers’ operations, financial condition, cash flows and prospects can be transparently communicated to investors.’ The full Public Statement can be accessed via the following link: more


On 1 July 2022, the ECSRC approved the grant of an Investment Adviser Licence to Beckles and Regis Consultancy.  

This licence authorises the business to advise clients on investment in securities; issue analyses or reports  concerning specific securities and to offer portfolio management services without holding clients’ assets and  on terms that preclude the business from doing so.  

Beckles and Regis Consultancy, located in Saint Christopher (St Kitts) and Nevis, is a business entity  founded by Sheena Regis and Ava Beckles, two qualified, young women with extensive experience in  the fields of Accounting, Investment and Risk more
